Corporate Finance
We act for owner-managed companies and private companies on a wide range of corporate finance transactions including trade sales, financed acquisitions, restructurings and refinancings.
On trade sales, often because of a long term relationship with the sellers, we will advise on the appropriate form and timing of a sale, and on the appointment of a corporate finance advisor where necessary. We frequently work on the Heads of Terms for transactions and manage the process from start to finish. We often work with our colleagues in our trust and tax team to ensure the most tax efficient disposal.
On acquisitions, we will usually become involved in the acquisition paperwork and due diligence and also the means of financing the transaction, whether in the form of debt or equity. This will take into account the long-term aspirations of the business, including the proposed exit, even if that is a long way off.
Restructuring and refinancings take many forms and usually involve liaison with our commercial property colleagues and, on occasion, our insolvency experts.
Some firms see corporate finance, especially disposal work, as a short term project, often with little or no previous client involvement. This is unusual at Wilsons. On most disposals, we have built up a relationship with the client over some years and we understand the client's attitude to risk. We also often act as tax advisors to the client personally and can therefore ensure that the structure of the transaction is as beneficial as possible from that perspective.
